1. Agreement and priority
By accessing or using the website or services, you agree to these Terms of Service with the EasyCards operator identified in Section 17 (“EasyCards,” “we,” “us,” or “our”). If you use the services for an organization, “you” means that organization and its authorized users.
Program documentation may include an Order Form, product schedule, fee schedule, implementation plan, data processing terms, issuer or bank terms, cardholder terms, network rules, and compliance requirements. Those documents form part of the agreement for the applicable service.
2. Eligibility and authority
You must be legally able to enter a binding agreement and, when acting for an organization, have authority to bind that organization. Services and card programs are subject to onboarding, due diligence, risk review, geographic availability, and approval by applicable program partners.
You must provide accurate, current, and complete information and promptly update it. Approval is not guaranteed, and an approval may include conditions, limits, or restricted use cases.
3. EasyCards' role
EasyCards provides card program technology, integration, and operational services. Unless specifically identified in applicable program documents, EasyCards is not a bank, card network, deposit-taking institution, or the licensed issuer of a card.
Cards and regulated services are provided by the issuing, banking, network, or other authorized partners identified in applicable program documentation. Their terms and decisions may apply independently.
4. Accounts and access
You are responsible for account users, API credentials, access permissions, devices, and activities conducted through your account. Keep credentials confidential, use appropriate authentication controls, and promptly tell us if you suspect unauthorized access.
You may not share access with unauthorized persons, bypass controls, probe the services without written permission, or use another party’s credentials. You are responsible for configuring limits, approval workflows, and user permissions appropriate for your program.
5. Card programs and availability
Card type, network, funding model, currency, region, wallet compatibility, physical card availability, limits, merchant acceptance, and permitted use cases depend on the approved card profile and program partners.
Authorizations may be declined, reversed, delayed, or subject to additional review. Merchant category data can be incomplete or inaccurate. EasyCards does not guarantee that a card will be accepted by a specific merchant, digital wallet, platform, or payment flow.
6. Acceptable use
You must not use the services to:
- violate law, sanctions, network rules, or partner terms;
- commit or facilitate fraud, deception, money laundering, terrorist financing, theft, or unauthorized transactions;
- misrepresent your business, ownership, cardholders, merchants, transaction purpose, or source of funds;
- evade limits, controls, compliance review, monitoring, or enforcement;
- resell or provide access to the services except as expressly permitted by an approved program;
- introduce malicious code, interfere with service operation, or access systems or data without authorization; or
- support a restricted industry, country, merchant category, or activity identified in program documentation.
You must maintain your own compliance program, customer notices, approvals, and monitoring to the extent required for your role.
7. Fees, funding, and settlement
Fees, reserves, funding requirements, settlement timing, reconciliation, foreign exchange, disputes, refunds, and chargebacks are stated in the applicable Order Form or program documents.
You must maintain sufficient eligible funds and pay all amounts when due. Displayed balances, authorizations, and settlement data may change as transactions are adjusted, reversed, cleared, or reconciled.
8. Third-party services and names
The services may depend on or connect with third-party providers. EasyCards is not responsible for third-party systems, decisions, outages, terms, or changes outside our reasonable control.
Third-party product and company names on the website are the property of their respective owners. References describe potential use cases or compatibility only and do not imply sponsorship, endorsement, partnership, or guaranteed acceptance.
9. Data and privacy
Each party must comply with applicable privacy and data protection law. Our Privacy Policy describes how EasyCards handles personal data. Additional data processing terms may apply to services provided on a customer’s behalf.
You represent that you have the necessary rights and notices to provide data and instructions to EasyCards and program partners.
10. Intellectual property
EasyCards and its licensors retain all rights in the website, services, software, APIs, documentation, designs, and related technology. Subject to the agreement, EasyCards grants you a limited, non-exclusive, non-transferable right to use the services for your approved internal business and program purposes.
You retain rights in your data and materials. If you provide feedback, you allow EasyCards to use it without restriction or payment, provided we do not identify you publicly without permission.
11. Confidentiality
Each party must protect the other party’s non-public information using reasonable care and use it only for the agreement. This does not apply to information that is public without breach, already lawfully known, independently developed, or rightfully received without confidentiality duties.
A party may disclose confidential information when legally required, where permitted after giving reasonable notice.
12. Suspension and termination
EasyCards or an applicable program partner may restrict, suspend, or terminate access when reasonably necessary to address suspected fraud, security risk, legal or network requirements, overdue amounts, material breach, partner instruction, or risk to the services or other parties.
Where practical and lawful, we will provide notice and an opportunity to address the issue. Termination does not remove accrued payment, recordkeeping, confidentiality, or other obligations intended to survive.
13. Disclaimers
To the maximum extent permitted by law, the website and services are provided “as is” and “as available.” EasyCards disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Website mockups, sample transactions, balances, metrics, scenarios, and timelines are illustrative. They are not customer results, financial advice, approval commitments, or promises that a product or integration is available.
14. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from these terms.
Unless a signed agreement states otherwise, each party’s aggregate liability arising from the services will not exceed the fees paid or payable to EasyCards for the affected service during the twelve months before the event giving rise to the claim. These limits do not apply where applicable law prohibits them.
15. Indemnification
You will defend and indemnify EasyCards and its affiliates from third-party claims, losses, and reasonable costs arising from your data, your card program, your violation of these terms, or your unlawful or unauthorized use of the services, except to the extent caused by EasyCards’ breach or misconduct.
16. Changes to services or terms
We may update the services and these terms for legal, security, partner, operational, or product reasons. We will post updated public terms and revise the effective date. Where required or contractually agreed, we will provide additional notice of material changes.
17. Contracting entity, law, and disputes
Unless an Order Form or other signed agreement identifies a different entity or rule, the contracting entity is JUCAN (HK) TECHNOLOGY LIMITED, with its registered office at Office 5, 8/F, Mega Cube, 8 Wang Kwong Road, Kowloon Bay, Kowloon, Hong Kong.
Unless a signed agreement states otherwise, these terms and any non-contractual dispute arising from them are governed by the laws of Hong Kong, without regard to conflict-of-law principles. The courts of Hong Kong have exclusive jurisdiction, subject to any mandatory rights that cannot lawfully be excluded.
If any provision is unenforceable, the remaining provisions stay in effect. Failure to enforce a provision is not a waiver. You may not assign the agreement without consent, except as part of a permitted corporate reorganization or sale; EasyCards may assign it to an affiliate or successor.
